1. ACCEPTING THIS AGREEMENT.
These Terms of Use (“Terms”), together with the Privacy Policy, any applicable Supplemental Terms, and all other operating rules, policies, and procedures that we may publish on the Connect Platform, form a legally binding agreement (collectively, the “Agreement”) between you (“You” or “you”) and Berklee College of Music, Inc. BY AGREEING TO THIS AGREEMENT, YOU AND BERKLEE AGREE TO SUBMIT ANY DISPUTES THROUGH BINDING ARBITRATION ON AN INDIVIDUAL BASIS, SUBJECT TO THE OPT-OUT PROVISION IN SECTION 14 (DISPUTE RESOLUTION).

8.2. Defense.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with us in asserting any available defenses. The applicable Berklee Party will provide you with written notice of any claim for which it seeks indemnification under this Section 8 (Indemnification; Defense).
9. WARRANTIES.
9.1. Your Representations and Warranties.
You represent and warrant to us that (a) Your Content does not infringe, violate, or misappropriate the intellectual property rights or proprietary rights of any third-party; (b) you have provided true and accurate information and will maintain the accuracy of such information; (c) you will comply with all applicable laws, rules, and regulations; and (d) you satisfy and will continue to satisfy all eligibility requirements to use the Platform, as such requirements may be revised or updated.
9.2. Disclaimer.
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS, ERRORS, BUGS, AND DEFECTS. WE MAKE NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PLATFORM OR ANY PORTION THEREOF. WE HEREBY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: (i) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (ii) ANY IMPLIED WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; AND (iii) ANY WARRANTY THAT THE PLATFORM WILL BE SECURE, ERROR-FREE, UNINTERRUPTED, TIMELY, OR WILL MEET YOUR REQUIREMENTS OR CONTAIN ANY PARTICULAR FEATURES OR FUNCTIONALITY.
OUTPUTS MAY CONTAIN ERRORS, OMISSIONS, OR CONTENT THAT INFRINGES OR MISAPPROPRIATES THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS. WE HAVE NO OBLIGATION TO INDEMNIFY, DEFEND, OR HOLD YOU HARMLESS AGAINST ANY CLAIM ARISING FROM YOUR USE OF OR RELIANCE ON ANY OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY, APPROPRIATENESS, AND LEGALITY OF ANY OUTPUT BEFORE USING OR RELYING ON IT, AND YOU ASSUME ALL RISK ASSOCIATED WITH ANY DECISION MADE OR ACTION TAKEN BASED ON ANY OUTPUT.
WITHOUT LIMITING SECTION 10.3 (NO LIABILITY FOR CONDUCT OF THIRD PARTIES), WE DISCLAIM ANY AND ALL LIABILITY TO USERS ARISING OUT OF OR RELATING TO (i) THE RELATIONSHIP BETWEEN USER OR ANY THIRD-PARTY CONTACTING USER THROUGH THE PLATFORM, (ii) ANY THIRD-PARTY SERVICE, AND (iii) YOUR CONTENT.
10. LIMITATION OF LIABILITY.
10.1. Liability Cap.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BERKLEE OR ANY PROVIDER OF THIRD-PARTY OFFERINGS VIA THE PLATFORM BE LIABLE UNDER ANY THEORY OF LIABILITY, WHETHER IN AN EQUITABLE, LEGAL, COMMON LAW, OR OTHER PROCEEDING OR ACTION ARISING HEREUNDER FOR CONTRACT, STRICT LIABILITY, INDEMNITY, TORT (INCLUDING NEGLIGENCE), ATTORNEYS’ FEES AND COSTS, OR OTHERWISE, FOR DAMAGES, COSTS, OR EXPENSES OF ANY KIND WHICH, IN THE AGGREGATE, EXCEED THE LESSER OF FIVE HUNDRED U.S. DOLLARS (US $500). FOR THE AVOIDANCE OF DOUBT, THE LIMITATIONS SET FORTH IN THIS SECTION 10 (LIMITATION OF LIABILITY) SHALL NOT APPLY TO YOUR OBLIGATION TO PAY FEES DUE UNDER THIS AGREEMENT, IF ANY, OR YOUR OBLIGATIONS UNDER ANY OTHER AGREEMENT BETWEEN YOU AND BERKLEE.
10.2. Exclusion of Certain Damages.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BERKLEE BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND AND HOWEVER CAUSED INCLUDING, BUT NOT LIMITED TO, ATTORNEYS’ FEES AND COSTS, EXPERT FEES, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF PROFITS, BUSINESS OPPORTUNITIES, OR GOODWILL.
10.3. No Liability for Conduct of Third Parties.
YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS AND OTHER THIRD PARTIES ON OR THROUGH THE PLATFORM. THE BERKLEE PARTIES ARE NOT LIABLE FOR THE CONDUCT OF OTHER USERS OR OTHER THIRD PARTIES, INCLUDING OPERATORS OF THIRD-PARTY SERVICES. WE DO NOT MAKE ANY ATTEMPT TO VERIFY THE STATEMENTS OF OTHER USERS OR THIRD PARTIES. WE MAKE NO WARRANTY THAT THE SERVICES OR PRODUCTS PROVIDED BY OTHER USERS AND THIRD PARTIES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS, OR REGARDING THE QUALITY, ACCURACY, TIMELINESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE PLATFORM.
10.4. Release.
YOU HEREBY RELEASE AND HOLD HARMLESS BERKLEE AND THIRD PARTIES FROM AND AGAINST ALL CLAIMS THAT YOU HAVE OR MAY HAVE AGAINST THEM FOR INFRINGEMENT, VIOLATION OF THE RIGHTS OF PRIVACY OR PUBLICITY, DEFAMATION, DISPARAGEMENT, PERSONAL INJURY, PROPERTY DAMAGE, NEGLIGENCE, AND/OR ANY OTHER LEGAL THEORY ARISING FROM OR IN CONNECTION WITH THE SERVICES OFFERED OR PROVIDED ON OR THROUGH THE PLATFORM AND/OR THE RIGHTS AND PRIVILEGES GRANTED OR CONVEYED BY YOU UNDER THESE TERMS (INCLUDING, WITHOUT LIMITATION, THOSE RIGHTS AND PRIVILEGES RELATING TO YOUR CONTENT AND/OR ANY ELEMENTS, DERIVATIVES, OR MARKETING OF THE FOREGOING). IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH PROVIDES: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY. IF YOU ARE NOT A CALIFORNIA RESIDENT, YOU WAIVE YOUR RIGHTS UNDER ANY STATUTE OR COMMON LAW PRINCIPLE SIMILAR TO SECTION 1542 THAT GOVERNS YOUR RIGHTS IN THE JURISDICTION OF YOUR RESIDENCE.
10.5. Limitation on Time to File Claims.
ANY CLAIM ARISING IN CONNECTION WITH YOUR USE OF THE PLATFORM MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE OF THE EVENT GIVING RISE TO SUCH CLAIM. ANY CLAIM NOT BROUGHT WITHIN SUCH ONE (1) YEAR PERIOD SHALL BE PERMANENTLY BARRED. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER THE PARTY KNEW OR SHOULD HAVE KNOWN OF THE CLAIM.
11. DISPUTES WITH OTHER USERS.
11.1. Disputes with Other Parties.
In the event of a dispute with another User or third party, you should contact them directly to attempt resolution. We are not responsible or liable for Your Content and you are solely responsible for your conduct and interactions with others.
11.2. Release.
Without limiting Section 10.4 (Release), you release us (and our officers, directors, agents, employees, and affiliates) from any claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes with other Users or third parties.
12. CONFIDENTIALITY.
12.1. Non-Disclosure.
We may disclose Confidential Information to you in connection with this Agreement or the Platform. You will: (a) safeguard our Confidential Information from unauthorized use, access, disclosure, or processing using at least the same degree of care you use to protect your own confidential information, and no less than a commercially reasonable degree of care; (b) use the Confidential Information only as needed to use the Platform; and (c) not disclose Confidential Information to any other person or entity. You are responsible for any breach caused by third parties who obtain Confidential Information through you and must promptly report any actual or suspected breach and take reasonable steps to remedy it.
12.2. Exclusions.
Confidential Information does not include any information that: (a) is or becomes generally available to the public other than as a result of your breach of the Agreement; (b) is obtained by you on a non-confidential basis from a third-party that was not legally or contractually restricted from disclosing such information; or (c) you establish by documentary evidence was or is independently developed by you without using any of our Confidential Information.
12.3. Injunctive Relief.
In addition to other relief, we may seek injunctive or other equitable relief for an actual or threatened breach of this Section.
13. TERM, TERMINATION AND SUSPENSION.
13.1. Term.
The Agreement is effective as of the date you first accept it in accordance with Section 1 and shall continue until you or we terminate your access to the Platform (the “Term”).
13.2. Termination for Convenience.
You may terminate this Agreement for any reason (or no reason) prior to the expiration of the Term upon notice to us.
13.3. Directory Removal, Profile Visibility, and Soundboard Participation.
You may use the settings on the Platform to remove yourself from the Platform directory or make your profile unavailable in the Platform’s directory, search, map, recommendations, and other general profile-discovery features. After you do so, your profile will not be visible to other Users through those features or through a general direct link to your profile.
Participation in Soundboard is optional and is governed by separate settings. If you choose to participate in Soundboard, you may be matched with another participating User for a private, one-to-one conversation based on the information you provide and the nature of the question or support requested. In connection with a Soundboard match, certain profile information may be shared with the specific User with whom you are matched, including through a link to your profile, so that each participant has context for the conversation. Such access is limited to the applicable Soundboard match and does not make your profile generally searchable or available to other Users.
Changes to your directory visibility or Soundboard participation settings affect your visibility and participation on the Platform only. They do not deactivate your Platform account, delete your account data, or remove you from Berklee’s alumni records. Requests to delete account data or cease processing are governed separately by Berklee’s Privacy Policy and applicable law, including applicable retention requirements, and are handled through Berklee’s centralized processes rather than through the Platform. Subject to applicable law and Berklee’s retention policies, Berklee may retain information as necessary.
13.4. Suspension by Us.
We may suspend or terminate your access to your account or the Platform, with or without notice, if (a) you provide untrue, inaccurate, incomplete, or outdated information; (b) you breach this Agreement; (c) we reasonably believe such action is necessary to protect the security or integrity of the Platform or data; or (d) your use risks harm to the Platform, other Users, or others, or risks violation of law.
13.5. Refusal of Services on Fraud.
In addition to our rights under Section 13.4 (Suspension by Us), we may refuse Services or deactivate your account at our sole discretion, including where we suspect fraud or illegal activity. We may request additional information from you in connection with the Platform, and if you do not timely provide it, we may suspend or terminate your access until you do.
13.6. Modification, Suspension or Discontinuance of Services.
We reserve the right to change, suspend, or discontinue any of the Services or Platform features or access for you, any or all Users, at any time, for any reason, including those laid out in our policies under the Agreement. We shall not be liable to you or any third party for any loss or damage that is caused by or arises from or in connection with any such changes, suspensions, or terminations.
13.7. Termination by Us.
We may terminate this Agreement at any time, without cause.
13.8. Effect of Termination.
Except where an exclusive remedy is provided, exercising a remedy under this Agreement, including termination, does not limit other remedies a party may have.
13.9. Survival.
All provisions of this Agreement that by their nature should survive termination will survive termination, including, but not limited to: license rights, ownership provisions, confidentiality, warranty disclaimers, indemnity, limitations of liability, dispute resolution, waiver of jury trial, arbitration, waiver of class and non-individual relief, and governing law, jurisdiction, and venue.
14. DISPUTE RESOLUTION.
14.1. Applicability of Dispute Resolution.
Subject to the terms of this Agreement, you and we agree that any dispute, claim, or disagreement arising out of or relating in any way to your access to or use of the Platform, any communications you receive, or this Agreement and prior versions of this Agreement, including those that arose before the effective date of this Agreement, or may arise after its termination (each, a “Dispute”), will be resolved solely on an individual basis and not on a class, representative, collective, or mass action basis, and without a jury.
14.2. Binding Arbitration.
Any Dispute will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this Agreement. The arbitration will be administered by the American Arbitration Association (“AAA”) and resolved before a single arbitrator. If AAA is not available to arbitrate, the parties will select an alternative arbitration provider. Except as modified by this Section, AAA will administer the arbitration in accordance with the Rules of Arbitration of the AAA, applying Massachusetts Law. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages) and must follow this Agreement as a court would. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to us at: Berklee College of Music 1140 Boylston Street, Boston, MA 02215, USA.
14.3. Arbitration Exceptions.
Notwithstanding the foregoing, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court in the United States; (b) pursue an enforcement action through the applicable federal, state, or local agency, if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) file a lawsuit in a court of law to address an intellectual property infringement claim.
14.4. Opt-Out.
If you do not wish to resolve Disputes by binding arbitration, you may opt out of the provisions of this Section within thirty (30) days after the date on which you first agree to these Terms and commence using the Platform (the “Opt-Out Date”) by sending a letter to the address set forth in Section 15.10 (Notice), which specifies your full legal name, the email address associated with your account on the Platform, and a clear, simple statement that you wish to opt out of arbitration (an “Opt-Out Notice”). Once we receive your Opt-Out Notice, this Section will be void with respect to your use of the Platform and receipt of Services, and any Dispute will be resolved through individual litigation in the courts described in Section 15.6 (Governing Law and Venue). The remaining provisions of these Terms will not be affected by an Opt-Out Notice. If we receive your Opt-Out Notice after the Opt-Out Date, your Opt-Out Notice shall be void and have no legal effect.
14.5. Arbitration Location.
If you reside in the United States, arbitration will take place in the county where you reside. Otherwise, arbitration will be initiated in Boston, Massachusetts, unless the parties agree otherwise or the arbitrator determines that venue would be unreasonably burdensome and selects another venue. For any arbitration conducted in Massachusetts, the parties submit to the personal jurisdiction of any federal or state court in Boston, Massachusetts to compel arbitration, stay proceedings pending arbitration, or confirm, modify, vacate, or enter judgment on an award, agree to accept service of process by U.S. mail, and waive any jurisdictional or venue defenses.
14.6. Informal Dispute Resolution.
You and we agree that good faith informal efforts to resolve Disputes can result in a prompt, low-cost, and mutually beneficial outcome. Before either party commences arbitration or litigation, the parties will personally meet and confer telephonically or via videoconference in a good faith effort to resolve the Dispute (“Conference”). If you are represented by counsel, your counsel may participate, but you must also participate personally. The Conference shall occur within sixty (60) days after receiving Notice, unless extended by mutual agreement.
The party initiating a Dispute must give written notice (“Notice”) to the other party. Notice to us should be sent by email to legalcounsel@berklee.edu or regular mail to the address in Section 15.10 (Notice). The Notice must include: (i) your name, telephone number, mailing address, and email address associated with your account (if any); (ii) the name, telephone number, mailing address, and email address of your counsel, if any; and (iii) a description of your Dispute.
The Conference shall be individualized; multiple individuals cannot participate in the same Conference unless all parties agree. Engaging in this Conference is a condition precedent to commencing arbitration or litigation. The statute of limitations and filing deadlines shall be tolled during the Conference process.
14.7. Waiver of Jury Trial.
YOU AND BERKLEE HEREBY VOLUNTARILY, KNOWINGLY, AND INTENTIONALLY WAIVE ANY AND ALL RIGHTS TO A TRIAL BY JURY IN ANY LAWSUIT, ACTION, OR PROCEEDING ARISING UNDER OR RELATING TO THE AGREEMENT. ALL DISPUTES SHALL BE DECIDED BY A JUDGE SITTING WITHOUT A JURY.
14.8. Waiver of Class and Other Non-Individualized Relief.
YOU AND BERKLEE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, REPRESENTATIVE, COLLECTIVE, OR MASS ACTION BASIS, AND THE PARTIES HEREBY WAIVE ALL RIGHTS TO HAVE ANY DISPUTE BE BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, REPRESENTATIVE, COLLECTIVE, OR MASS ACTION BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND DISPUTES OF MORE THAN ONE CUSTOMER OR USER CANNOT BE LITIGATED, ARBITRATED, OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. Further, unless both you and we agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding.
14.9. Injunctive Relief.
Subject to this Agreement, the court or arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by the party’s individual claim. Notwithstanding anything to the contrary in this Agreement, if a court decides by means of a final decision, not subject to any further appeal or recourse, that the limitations of this section are invalid or unenforceable as to a particular claim or request for relief, you and we agree that particular claim or request for relief (and only that particular claim or request for relief) shall be severed from the remaining claims and requests for relief. This section does not prevent you or us from participating in a class-wide settlement of claims.
14.10. Attorneys’ Fees and Costs.
The parties shall bear their own attorneys’ fees and costs unless the court or arbitrator finds that either the substance of the Dispute or the relief sought was frivolous or was brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)). If you or we need to invoke the authority of a court of competent jurisdiction to enforce this Section, then the party that obtains an order compelling compliance with this Section in such action shall have the right to collect from the other party its reasonable costs, necessary disbursements, and reasonable attorneys’ fees incurred in securing an order compelling compliance with this Section.
